1. PARTIES

1.1. This Membership Agreement (“Membership Agreement”) is executed between Steel Life Inc., located at 418 Broadway, #5262 Albany, NY 12207, USA (“SINBADEXPRESS”), and the Member (“Member”) for the purpose of determining the terms and conditions regarding the Member’s use of the Services offered by SINBADEXPRESS on its Website ( https://sinbadexpress.us ).

1.2. In this Membership Agreement, SINBADEXPRESS and the Member shall be referred to individually as a “Party” and collectively as the “Parties.”

2. DEFINITIONS

3. SCOPE AND PURPOSE OF THE MEMBERSHIP AGREEMENT

3.1. SINBADEXPRESS is an e-commerce platform operating as a marketplace that brings buyers and sellers together.

3.2. Under this Membership Agreement, the Member wishes to become a member of the Website, benefit from the Services, and purchase the products and/or services sold on the platform.

3.3. The purpose of this Membership Agreement is to determine the terms and conditions of benefiting from the Services and, in this context, to identify the rights and obligations of the Parties. By accepting this Membership Agreement, the Member declares and undertakes that they accept all statements, content, applications, and any declarations made for Members on the Website.

3.4. For avoidance of doubt, this Membership Agreement is solely between the Parties and only includes the terms and conditions regarding the Services offered on the Website. Members may seek their legal rights against SINBADEXPRESS regarding the transactions they perform on the Website.

4. RIGHTS AND OBLIGATIONS OF THE PARTIES

4.1. To obtain membership status, the Member must approve this Membership Agreement, fill in the requested information on the membership page accurately and up to date, and have their membership application approved by SINBADEXPRESS. SINBADEXPRESS may reject/not approve membership applications made by the Member on the Website without providing any reason. Members are deemed to have accepted this. Users who wish to become Members must be at least 18 (eighteen) years old. The Member is solely responsible for any damages arising from providing incorrect or outdated information when completing this Membership Agreement.

4.2. SINBADEXPRESS is not obligated to check whether the content on the Website is lawful or appropriate. At its sole discretion, SINBADEXPRESS reserves the right to check, block access to, or delete such content at any time if deemed necessary.

4.3. The Member acknowledges that the product purchased through the Website is sold by the Seller, that SINBADEXPRESS only operates as an intermediary marketplace, and that all responsibility regarding the product—including quality, warranty period, return policy, and any other product-related matters—lies with the Seller.

4.4. The Member agrees and declares that they will act in compliance with this Membership Agreement, all conditions stated on the Website, applicable legislation, and moral norms while performing transactions and correspondences on the Website. The Member bears all legal and criminal liability for their activities and actions within the Website.

4.5. SINBADEXPRESS may share the Member’s information with competent authorities if required under applicable laws, provided that the Member is informed in advance and data transfer rules are observed.

4.6. The username and password required for accessing the My Account Page and conducting transactions on the Website are created by the Member, and the security and confidentiality of this information are the Member’s sole responsibility. The Member accepts and undertakes that any transactions performed with their username and password are deemed to have been performed by them, that they bear all responsibility arising from such transactions, and that they cannot claim otherwise.

4.7. The Member shall not use the Website in a manner contrary to law and morality, including but not limited to the following:

4.7.1. Using the Website to create a database, record, or directory on behalf of any person;

4.7.2. Using the Website wholly or partially for the purpose of disrupting, altering, or reverse-engineering its functionality;

4.7.3. Conducting transactions using false information or another person’s information, creating fake Membership accounts using misleading personal data including false or misleading address, email, contact, payment, or account information, using such accounts contrary to this Membership Agreement or applicable law, accessing another Member’s account without permission, impersonating another person, or participating in transactions under a false identity;

4.7.4. Using the rating and review systems for purposes other than intended, such as publishing Website reviews outside the Website or manipulating the system;

4.7.5. Spreading viruses or other technologies that may harm the Website, its database, or any content on the Website;

4.7.6. Collecting information—including Members’ email addresses—without the consent of the relevant persons;

4.7.7. Engaging in activities that place unreasonable or disproportionately heavy loads on Website communication or technical systems, causing damage to technical functionality, or using automatic programs, bots, web crawlers, spiders, data mining, or data crawling systems without prior written consent from SINBADEXPRESS, or copying/publishing/using Website content without authorization;

4.7.8. Misusing Services, campaigns, or advantages offered on the Website with bad faith or for unjust benefit, or violating campaign terms in bad faith.

4.8. The Member is obliged to conduct their activities on the Website in a manner that will not cause technical harm. The Member accepts and undertakes that they have taken all necessary precautions—including the use of protective software and licensed products—to ensure that the information, content, materials, or other data provided to the Website do not contain any programs, viruses, software, unlicensed products, Trojan horses, etc., that may harm the system. The Member also agrees not to access their Account Page using robots or automated methods.

4.9. Links on the platform may direct the Member to other websites/applications. SINBADEXPRESS makes no warranty regarding the content, accuracy, reliability, or functionality of these sites or applications. SINBADEXPRESS shall not be held responsible for any damages arising from downloading, sharing, using, accessing, or modifications of such websites/applications. By becoming a Member, Members accept this.

4.10. SINBADEXPRESS shall take technical measures to ensure the security of the Website and will publish these measures on the Website.

4.11. The Member may update their information through the My Account Page. Once updated, the Member is not required to inform SINBADEXPRESS separately. The Member continues to use the Website with their most recently updated information.

4.12. SINBADEXPRESS shall conduct email or SMS verification for security during the membership process. The Member accepts and approves this.

5. TERMINATION OF THE AGREEMENT

5.1. Either Party may unilaterally terminate this Membership Agreement at any time without compensation. In the event of such termination, the Parties shall fully fulfill their mutual rights and obligations that have arisen up to the date of termination.

If SINBADEXPRESS sells the Website to another company, Members shall be informed of the sale process at least 3 months in advance through the relevant communication channels. In such a case, any Member may choose to continue their Website membership or may terminate their membership and leave the Website at any time.

5.2. SINBADEXPRESS reserves the right to suspend or terminate the Member’s account, and to pursue legal action, if it determines or reasonably suspects that the Member has violated any provision of this Membership Agreement.

5.3. A Member may request the temporary suspension or permanent deletion of their Membership Account by sending an email from the email address used during registration, including a detailed explanation of the request, to info@sinbadexpress.us, or by sending a written notice titled “Membership Cancellation” to the company address. Cancellation requests submitted through any other means shall not be accepted, and the Membership shall continue in the same manner. Requests related to Membership Cancellation shall be processed by SINBADEXPRESS within a maximum of 1 month, and the Member shall be notified once the process is completed. For matters such as Membership Cancellation, SINBADEXPRESS will only accept emails sent from the most recently verified email address recorded in the Member’s panel; unverified email addresses will not be accepted or processed.

6. PRIVACY POLICY

All services provided through our Store belong to and are operated by our company, Steel Life Inc., registered at https://sinbadexpress.us/.

7. INTELLECTUAL PROPERTY RIGHTS

The SINBADEXPRESS trademark and logo, the design and software of the SINBADEXPRESS mobile application and Website, the domain name, and all trademarks, designs, logos, trade dress, slogans, and any other content created by SINBADEXPRESS in relation thereto are the exclusive intellectual property of SINBADEXPRESS. The Member may not use, share, distribute, display, reproduce, or create derivative works from any intellectual property owned by SINBADEXPRESS or its affiliated companies without SINBADEXPRESS’s prior consent. The Member may not use the SINBADEXPRESS mobile application or the Website, in whole or in part, in any other environment without SINBADEXPRESS’s permission. In the event that the Member acts in violation of the intellectual property rights of third parties or SINBADEXPRESS, the Member shall be liable to compensate SINBADEXPRESS and/or such third party for all direct and indirect damages and expenses.

8. AMENDMENTS TO THE AGREEMENT

SINBADEXPRESS, at its sole discretion and at any time, may amend this Membership Agreement and any policies, terms, and conditions on the Website—including the Privacy Policy, Cookie Policy, and Clarification Text—provided that such amendments do not conflict with applicable legislation. Such amendments may be made without obtaining the Member’s written or verbal consent, by announcing them on the Website. SINBADEXPRESS may remove, change, update, suspend, or discontinue the platform and/or services, in whole or in part, temporarily or permanently, and/or may introduce additional services on the platform. SINBADEXPRESS shall bear no liability toward the Member and/or third parties for the matters listed in this article or for similar actions. The amended provisions of this Membership Agreement shall take effect on the date they are published on the Website, while the remaining provisions shall remain in full force and effect. For the avoidance of doubt, this Membership Agreement may not be unilaterally modified by the Member.

9. FORCE MAJEURE

Events including but not limited to uprisings, embargoes, governmental interventions, rebellions, occupations, wars, mobilizations, strikes, lockouts, labor actions or boycotts including labor–employer disputes, cyberattacks, communication failures, temporary unavailability of the Website due to unforeseen issues causing system failure, server malfunctions, situations requiring mandatory server replacement, infrastructure and internet outages, system-related maintenance or improvement works and resulting disruptions, power outages, fires, explosions, storms, severe weather conditions, amendments to legislation, decisions of competent authorities, floods, earthquakes, migrations, epidemics, or any other natural disaster, or other events occurring beyond SINBADEXPRESS’s reasonable control, not caused by its fault, and not reasonably foreseeable (“Force Majeure”), which prevent or delay SINBADEXPRESS from fulfilling its obligations under this Membership Agreement, shall not render SINBADEXPRESS liable for such prevented or delayed performance and shall not constitute a breach of this Membership Agreement.

SINBADEXPRESS does not claim to operate a flawless e-commerce platform; rather, it undertakes to take the legally required technical measures—particularly those required under applicable laws—to ensure the security of the Website, to monitor such measures, and to make necessary improvements when such measures are insufficient, without compromising Website security and even incurring additional costs when required. However, SINBADEXPRESS shall not be held liable for any issues arising from the occurrence of the Force Majeure events described above. Members acknowledge and accept this.

10. MISCELLANEOUS PROVISIONS

10.1. Agreement on Evidence:
The Member agrees that in resolving disputes arising from this Membership Agreement, SINBADEXPRESS’s official books and commercial records, and the e-archive records, electronic information, electronic correspondence, and computer records stored in SINBADEXPRESS’s database and servers shall constitute binding, conclusive, and exclusive evidence.

10.2. Governing Law and Dispute Resolution:
This Membership Agreement shall be governed exclusively by the laws of the United States of America. Any dispute arising out of or relating to this Membership Agreement shall fall under the exclusive jurisdiction of the New York courts.

10.3. Notices:
SINBADEXPRESS will communicate with the Member via the email address provided during registration, by calling or sending SMS to the Member’s phone number, or by using the home/work address provided by the Member. The Member is responsible for keeping their email address and phone number up to date. SINBADEXPRESS may also use other contact information provided by the Member when necessary, including for sending advertisements or other notifications. The Member acknowledges and accepts that such contact information may be used for these purposes.

10.4.Entire Agreement and Severability:
This Membership Agreement constitutes the entire agreement between the Parties regarding its subject matter. If any provision of this Membership Agreement is held entirely or partially invalid, unenforceable, or unreasonable by a competent court, arbitral tribunal, or administrative authority, such invalidity, unenforceability, or unreasonableness shall apply only to the relevant provision to that extent, and the remaining provisions shall continue in full force and effect.

10.5. Assignment:
The Member may not assign any of their rights or obligations under this Membership Agreement, in whole or in part, without the prior written consent of SINBADEXPRESS. Any assignment or transfer made without SINBADEXPRESS’s prior written consent shall be invalid. However, SINBADEXPRESS may assign or transfer this Agreement and/or any of its rights, interests, receivables, and/or obligations arising hereunder to its affiliates, subsidiaries, business partners, and/or third parties without the Member’s prior written consent.

10.6. Amendments and Waivers:
Failure by either Party to exercise or enforce any right granted under this Membership Agreement shall not be deemed a waiver of such right or prevent its later exercise or enforcement.

10.7. Office of Foreign Assets Control (OFAC) Restrictions:
Persons located in countries listed on the United States Office of Foreign Assets Control (OFAC) sanctions and embargo list are prohibited from registering on the SINBADEXPRESS website. Membership applications from individuals or companies attempting to register from these countries will not be accepted. The restricted country list is as follows:
Cuba, Iran, North Korea, Syria, Crimea Region (Crimea, Ukraine), Belarus, Libya, Democratic Republic of the Congo, Somalia, Sudan, Venezuela, Yemen, Zimbabwe.

This Membership Agreement, consisting of 10 (ten) articles, has been read and fully understood by the Member and entered into force upon the Member’s electronic approval
